1. Description of Services

We provide comprehensive Social Media Marketing services, including:

• Social Media Strategy
• Content Creation
• Campaign Management
• Analytics Reporting
• Paid Advertising

2. Acceptance of Terms

By using our services, you agree to these Terms and Conditions. If you disagree with any part of these terms, please do not use our services.

3. Client Onboarding

You are required to provide necessary information and materials for service provision, including brand guidelines, account access, and specific marketing objectives.

4. Payment Terms

Invoicing is on a monthly basis, and payments are due within 30 days of the invoice date. Late payments incur a 3% charge per month on outstanding balances.

5. Client Obligations

You must provide timely feedback and approvals and ensure all content is legally compliant and does not infringe on third-party rights.

6. Term of Agreement and Termination

The Agreement is effective from the Effective Date and continues on a month-to-month basis. Termination requires 30 days’ written notice from either party.

7. Renewal

This Agreement renews automatically each month. Notice for non-renewal must be given at least 30 days before the next cycle begins.

8. Intellectual Property

We retain rights to our methodologies and materials. You receive a license for the deliverables upon full payment.

9. Indemnification and Limitation of Liability

Indemnification

You agree to indemnify and hold harmless Tecmagix Interactive, its affiliates, and their respective officers, agents, and employees from any claim or demand made by any third party due to or arising out of your use of our services, your breach of these Terms and Conditions, or your violation of any law or the rights of a third party.

Limitation of Liability

To the fullest extent permitted by law, Tecmagix Interactive shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Waiver

You hereby waive any and all claims against Tecmagix Interactive arising from or in connection with the services provided under this Agreement.

10. Confidentiality

Both parties will maintain the confidentiality of proprietary information received during the provision of services.

11. Governing Law

These Terms and Conditions shall be governed by the laws of the Province of Ontario, Canada.

12. Modifications to Terms

We reserve the right to modify these terms at any time, effective upon posting the updated terms.
